Corporate Biography
As a member of the Corporate Law Group, Robert Braumuller represents
companies on commercial matters in a broad range of industries,
including services, distribution, manufacturing, retail, franchising,
health, real estate and technology.
As a mergers and acquisitions attorney, Mr. Braumuller represents
buyers and sellers in middle-market acquisitions and divestitures.
This includes stock and asset transactions, tax-free mergers, corporate
restructurings and management-led buyouts. He assists buyers and
sellers conduct due diligence and formulate appropriate deal structures
that promote tax efficiencies and incorporate earn-out formulas,
performance hold-backs and escrows to address reasonable business
contingencies and legal risks. Mr. Braumuller prepares and negotiates
stock and asset purchase agreements in connection with the sale
or acquisition of a business. He also represents professional practices
on buy-ins, buy-outs, withdrawals and partition actions.
Mr. Braumuller represents companies in all stages of the business
cycle, from start-up businesses seeking guidance on formation of
their entity, to established companies seeking capital for growth,
to mature family-owned companies planning for succession to the
next generation. He assists clients on business expansion matters,
including through private equity, venture capital and other financing
mechanisms. He also counsels owners of closely-held companies on
appropriate exit strategies, whether sales to third parties or transfers
of ownership within the family, to achieve their personal and estate
planning goals in a tax efficient manner.
Mr. Braumuller serves as outside “general counsel”
to businesses, bringing in other attorneys from the firm when their
particular areas of expertise are invoked. He serves as business
counsel to companies, regularly representing them on corporate governance
and business matters, and negotiating, drafting and advising them
on:
- service and consulting agreements and joint ventures;
- employment and executive compensation agreements;
- computer hardware and software agreements, e-commerce
and online advertising transactions, and website development and
hosting agreements;
- non-competition, non-disclosure and non-circumvention
agreements;
- trade secret agreements and intellectual property license
agreements;
- franchise agreements;
- supply, distributor and manufacturing agreements;
- private placement memoranda, subscription agreements and
investor statements;
- loan agreements, guarantees, promissory notes and security
agreements;
- bylaws and partnership, shareholder and LLC operating
agreements; and
- settlement and release agreements.
